These terms require legal review before the first paid client and do not yet form a final subscription agreement.
1. Decision support and limits of the service
VitalisBill provides billing decision support based on information entered by the user and written rules from the Alberta Schedule of Medical Benefits. Use remains subject to clinical judgement and professional review. Medical, legal, accounting and insurance advice are outside the service.
2. No claim submission or Alberta Health relationship
VitalisBill does not submit claims. Use of the service does not create a billing, agency or other relationship between Vitalis Health Strategies Inc. and Alberta Health. The user remains responsible for the separate systems and processes used to submit claims.
3. Physician responsibility
The physician is responsible for every claim submitted and every chart entry. All suggested codes, modifiers, units, fees, cautions and draft notes must be reviewed against the care provided and the clinical record before use.
4. Schedule accuracy and currency
Vitalis Health Strategies maintains the rule set against the April release of the Alberta Schedule of Medical Benefits and incorporates amendments issued during the year. Schedule materials can change, and the service may require time to review and implement a new or amended rule.
5. No warranty of revenue outcome
VitalisBill does not guarantee additional revenue, claim acceptance or any financial result. Published return figures are models based on stated assumptions. A baseline review is also an estimate and does not guarantee future results.
6. Acceptable use and licences
Each licence is for one physician unless a written clinic agreement states otherwise. Users may not resell access, share credentials outside the licensed clinic, interfere with the service, extract the rule set, or use the service for unlawful or misleading claims.
7. Subscription, billing, renewal and cancellation
Subscriptions are billed monthly or annually in Canadian dollars. Physician accounts use one volume plan. Practice accounts combine each physician's own plan and apply the current seat discount. Enterprise accounts use quoted rates. Plans, seats and discounts are reviewed at renewal. Final renewal, cancellation, refund and tax terms will be presented before purchase.
8. Privacy and data handling
The device computes the encounter. Service codes, modifiers, units, the claim total and a timestamp tied to a physician's seat may be transmitted to the account for usage reporting. Nothing identifying a patient, the diagnosis or the draft chart note is transmitted or stored. The chart note stays on the device until the physician places it in the chart. Clinics remain responsible for devices, access controls, records and applicable privacy law. A formal written privacy opinion is required before the first paid client.
9. Limitation of liability
To the extent permitted by law, Vitalis Health Strategies Inc. will not be liable for indirect, incidental, special or consequential loss arising from use of the service. Final limits, exclusions and any subscription-based liability cap remain subject to legal review.
10. Governing law
These terms are governed by the laws of Alberta and the applicable federal laws of Canada. Any proceeding will be brought in Alberta, subject to the final agreement and applicable law.
